Terms & Conditions

1. Use of the Flido Tech Private Limited Platform/Services

Welcome to Flido, a platform operated and owned by Flido Tech Private Limited ("Flido Tech", "Flido", "we", "us", "our"). These Terms of Service ("Terms") govern your use of the Flido mobile application ("App") and the services offered through it (collectively, the "Services"). By accessing or using the App, you agree to be bound by these Terms. If you do not agree, please refrain from accessing or using the Services.

Flido is a digital platform that connects companies and organizations ("Clients") with independent workers and service providers ("Agents" or "Sub-Contractors") for various projects, assignments or tasks ("Assignments"). Flido provides a mobile interface to post, accept and manage assignments, secure payment facilitation between Clients and Agents, and performance tracking and operational management tools. However, Flido is only a technology intermediary. We do not employ, supervise or control Agents, nor are we a party to any service agreement between a Client and an Agent. Each Assignment forms a direct agreement between the Client and the Agent.

2. Definitions

  • Client – any person, company or entity that uses the Flido App to engage Agents or Sub-Contractors for assignments, projects or fieldwork.
  • Agent – any independent individual, sub-contractor or service provider registered on the Flido App to undertake and perform tasks, assignments or services for Clients.
  • User – collectively refers to both Clients and Agents using the App.
  • Assignment – any project, job or work posted by a Client on the App and undertaken by an Agent.
  • Platform – the Flido mobile application, including updates, associated systems and content.
  • Payment Services – functionality enabling Flido to collect payments from Clients and disburse them to Agents.
  • Flido Account – a unique account created by a User to access and use the Services.
  • Affiliate – any entity that directly or indirectly controls, is controlled by, or is under common control with Flido Tech.
  • Applicable Law – all relevant laws, statutes, regulations, rules and legal requirements of India.

3. Acceptance of Terms

By using Flido, you confirm that you are competent to enter into a binding legal contract under Indian law, accept and agree to these Terms and our Privacy Policy, and understand that Flido may update or modify these Terms at any time. If the Terms are updated, the revised version will be posted within the App and the "Last Updated" date will be updated. Your continued use after such changes means you accept the new Terms.

4. Eligibility

4.1 Eligibility Criteria

  • You must be at least 18 years of age and capable of forming legally binding contracts.
  • Clients must be legitimate entities, registered under applicable laws and authorised to engage Agents for assignments.

4.2 Account Registration

  • You must create a Flido Account using your valid name, email address, mobile number and other requested details.
  • You agree to provide accurate, complete and up-to-date information.
  • You are responsible for maintaining the confidentiality of your account credentials.
  • Flido will not be responsible for losses arising from unauthorised access to your account.

4.3 Account Suspension or Termination

Flido reserves the right to suspend or terminate your account without notice if it believes you have violated these Terms, provided false information or engaged in unlawful or fraudulent activity.

5. Scope of Services

Flido provides a digital marketplace and facilitation service that includes allowing Clients to create, post and manage assignments, enabling Agents to browse and accept assignments suited to their profile, facilitating secure payment transfer from Clients to Agents upon successful completion of assignments, and providing analytics, status updates and notifications related to assignment progress.

Flido does not hire or employ Agents, guarantee task performance, accuracy or timelines, or mediate disputes between Clients and Agents beyond limited payment facilitation. All interactions, contracts and responsibilities between Clients and Agents are independent of Flido.

6. Relationship between Parties

  • Independent Contractors: Agents are independent professionals or sub-contractors, not employees, partners or representatives of Flido or Flido Tech.
  • No Agency Relationship: Flido does not act as an agent or representative for any Client or Agent and is not liable for representations, commitments or actions made by either party.
  • Direct Agreement: Every Assignment constitutes a direct contractual relationship between the Client and the Agent. Flido is not a party to such agreements.

7. User Accounts

To access the Services, Users must create a Flido Account using accurate information. You are responsible for maintaining confidentiality of your login credentials and all activities under your account. Flido reserves the right to suspend or terminate any account found violating these Terms or engaging in fraudulent or unlawful activity.

8. Payment and Fees

Payment Facilitation

  • Flido enables payment collection from Clients and onward disbursement to Agents.
  • Payments are processed through secure, RBI-authorised payment gateways or partner financial institutions.

Process

  • Clients deposit agreed fees for each Assignment through the App.
  • Upon confirmation of task completion, Flido releases the corresponding payment to the Agent after deducting applicable platform charges or service fees.

Disbursement Timeline: Flido generally releases funds to Agents within 15 working days of confirmation, subject to verification and completion status.

Dispute Holds: Flido may withhold payments temporarily in case of disputes, fraud investigations or compliance checks.

Taxes and Deductions: Each User is responsible for their own tax compliance, including GST and TDS. Flido may withhold applicable taxes as required by Indian law.

Refunds: Refunds, if applicable, are governed by specific policies and are subject to validation by Flido.

9. Content and Intellectual Property

All intellectual property, trademarks, logos, software and content within the Flido App belong to Flido Tech Private Limited. You are granted a limited, non-exclusive, non-transferable licence to use the App solely for its intended purpose.

Any content submitted by Users remains their property, but by uploading it, you grant Flido a worldwide, royalty-free licence to use it for operating, improving and promoting the Services. Users must not upload or share unlawful, abusive, harassing, obscene or infringing content.

10. Restrictions on Use

  • Use the App for unlawful, misleading or fraudulent purposes
  • Impersonate another person or misrepresent your association
  • Collect or harvest information from other users
  • Circumvent payment or fee systems
  • Upload malicious code, spam or attempt unauthorised access to the App

11. Confidentiality

All non-public business information exchanged between Clients, Agents and Flido must be kept confidential. Flido will use commercially reasonable measures to protect User data but cannot guarantee absolute security.

12. Data Protection and Privacy

Flido collects personal and transactional data to operate the platform, verify identities and process payments. Information is used in accordance with the Privacy Policy for account verification and KYC compliance, task management and payment facilitation, communication and analytics. Flido may share limited data with Clients or Agents solely for assignment purposes. While Flido uses industry-standard security measures, we cannot guarantee absolute protection against unauthorised access.

13. Limitation of Liability

Flido provides the App and Services "as is" and makes no warranties regarding their accuracy, completeness, reliability or availability.

Flido shall not be liable for any error, delay or failure of an Agent to complete an Assignment, any loss of data, profits or reputation, any misconduct or negligence by Agents, Clients or third parties, or system outages or force majeure events.

The total cumulative liability of Flido or Flido Tech for any claim shall not exceed the total fees paid to Flido in the three months preceding the event giving rise to the claim.

14. Indemnity

You agree to indemnify and hold harmless Flido Tech, its affiliates, officers, directors, employees and agents from and against any claims, damages, liabilities, losses or expenses arising from your breach of these Terms, your violation of applicable laws or any dispute between a Client and an Agent.

15. Termination

  • Flido may suspend or terminate your account if you breach these Terms or applicable law, misuse the App, or engage in fraudulent or suspicious activity.
  • Upon termination, all rights to use the App cease immediately, pending payments may be withheld for investigation, and clauses regarding liability, indemnity and confidentiality survive termination.

16. Third-Party Links and Services

The App may contain links to third-party platforms or services. Flido is not responsible for the availability, content or accuracy of such external sites or their practices.

17. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of India. The courts at Bhopal, Madhya Pradesh have exclusive jurisdiction over disputes arising under these Terms. Parties are encouraged to first attempt amicable settlement before resorting to formal proceedings.

18. Force Majeure

Flido shall not be liable for any delay or failure to perform obligations due to events beyond its reasonable control, including natural disasters, government actions, network failures or system outages.

19. Miscellaneous

  • Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Flido.
  • Assignment: Flido may assign its rights or obligations to any affiliate or successor without notice.
  • Waiver: No waiver of any provision shall be effective unless in writing.
  • Severability: If any provision is held invalid, the remaining provisions remain enforceable.

20. Acknowledgement

By using the Flido mobile application, you acknowledge that Flido is a technology platform that facilitates engagement and payment between Clients and Agents; Flido Tech Private Limited does not employ, control or supervise Agents or Sub-Contractors; and any assignment or engagement is a direct contractual relationship between the Client and the Agent, for which Flido bears no liability.

21. Bill Payments and Digital Products Terms & Conditions

Please read the following carefully before using the Flido website, mobile application or any similar platform for travel, recharge, bill payment or digital product related services offered by Flido on the Flido Platform.

22. Eligibility

The Flido Digital Services are not available to persons under the age of 18 or to anyone previously suspended or removed by Flido from availing such services or accessing the Flido Platform. By accepting these Terms, you represent that you are at least 18 years of age, have not been previously suspended or removed, and have the right, authority and capacity to enter into this Agreement and abide by the Terms.

23. Digital Services

Flido facilitates the payment of certain bills through the Flido Platform and offers digital products such as prepaid recharges for mobile, DTH and data card, movie tickets, bus tickets, hotel reservations, flight tickets, amusement or theme park tickets, and coupon redemption services. The terms in this section apply in conjunction with other service-specific terms accepted by you.

24. Flido Recharges

Flido is only a reseller of digital products. Flido does not provide mobile operator services and is not a warrantor, insurer or guarantor of telecom services. Any dispute regarding the quality, minutes provided, cost, expiration or other terms of a prepaid recharge must be handled directly between you and the telecom operator or provider.

The same logic applies, mutatis mutandis, to other prepaid recharge products available on the Flido Platform, including DTH and data card recharges. Flido will not be responsible for any failure by recharge partners in effecting a recharge.

25. Refund Policy

All sales of prepaid recharge on the Flido Platform are final with no refund or exchange permitted. If money has been charged but recharge is not delivered within 24 hours of completion of the transaction, you must inform customer support by email and include the mobile or account number, operator name, recharge value, transaction date and order number. If it is found that money was indeed charged without delivery of recharge, the amount will be refunded within 21 working days to the bank account used for the payment. It may take 3–21 working days for the amount to show, depending on bank policy.

26. Return and Cancellation Policy

Flido Tech Private Limited under the trade name of Flido does not sell any physical goods on its website or mobile application. Flido is solely a service provider and therefore return or cancellation policy is not applicable.

27. Bill Payments

To use the bill payments service or any other Flido Service, you will need internet access and all necessary equipment to connect to the internet. Flido and/or business partners reserve the right to charge fees for availing a specific service and such fees become effective when posted on the relevant platform or partner channel.

Payments to a biller may differ based on partner facilities, biller availability, device or mode of access, type of payment account and applicable charges. You agree to provide true, accurate, current and complete registration, payment and biller data and keep it updated.

Flido may suspend or terminate your account if the information provided is untrue, inaccurate, not current or incomplete. Flido assumes no responsibility and shall incur no liability if it is unable to affect payment instructions due to incomplete or delayed instructions, insufficient funds or limits, encumbrances on the payment account, refusal or delay by your bank or the National Clearing Centre, failure of a biller to process payment, or circumstances beyond Flido's control such as fire, flood, natural disasters, strikes, power failure or system breakdown. If a bill payment is not effected, you will be intimated by email.
